차일드 회장과의 협상
페어차일드 본사는 맨해튼의 남부, 엠파이어 스테이트 빌딩이 있는 고층 빌딩이 많은 곳에 있었다. 미래에는 그 위상이 크게 추락했지만, 현재는 그 회사의 전성기로서 당당하게 맨해튼의 빌딩 하나를 차지하고 있었다.
미국의 4대 부호인 록펠러와 멜런, 듀폰, 핍스에는 못 미치지만…… 그 뒤를 바짝 추격하고 있었다. 미국도 대한민국만큼 재벌(부호)들의 부침이 심했다.
오랫동안 그들의 부를 유지하는 이들이 있는 반면에 한때 반짝하고 사라지는 이들도 있었다. 동시에 새로운 부호로 등장하는 사람들도 있었다.
미국은 그러한 변화가 심했다. 시대의 흐름에 뒤처지면 금방 사라졌다. 페어차일드는 그런 가문이었다.
하지만 지금은 한창 전성기였다. 모든 사업 부분이 잘되고 있었고 반도체도 호조였다. 그런 만큼 페어차일드 회장은 쉽게 만날 수 있는 사람이 아니었다. 이학수와 앤더슨의 공이 컸다.
빌딩 안으로 들어가자 로비의 안내원이 방문한 목적을 물었다.
“어떤 일로 오셨습니까?”
“회장님과 만나기로 약속한 미래 그룹 부사장인 아이언(강철)입니다.”
“아! 약속을 확인했습니다. 잠시만 기다려 주십시오.”
로비의 안내원은 아이언이라는 이름에 백인을 생각했던 것 같았다. 생각했던 것과 달리 검은 머리의 동양인이 나타나자 놀란 것 같았다.
강철이라는 이름은 외국인들이 발음하기 힘들었기에 외국에서 아이언이라는 사용했다. 강철과 아이언은 서로 잘 어울리는 매치였다. 상대방에서 강한 인상을 줄 수 있었다.
‘톰이나 지미, 잭과 같은 이름은 그렇지. 너무 흔하고 강한 인상을 주기 힘들어.’
안내원은 예약 북을 확인하고 전화기로 회장실에 전화했다. 그곳에 방문객의 도착을 알리고 지금 올라가도 되는지를 확인했다.
“지금 바로 올라가시면 됩니다. 이쪽으로 오십시오.”
“학수도 따라와.”
“저는 올라가지 않아도 됩니다.”
“너도 이번에 내가 페어차일드 회장과 협상하는 모습을 보고 배워. 나중에 도움이 될 거야.”
“알겠습니다. 감사합니다.”
저번 회차에 재벌 그룹의 회장으로서 다양한 협상을 했다. 경험이 많았다. 학수도 그것을 보고 배우면 전략 기획실을 운영하는 데 도움이 될 것이다.
그가 한국에서 나를 대신하여 많은 사람을 만나서 협상을 해야 할 것이다. 그중에는 군사 정부의 인사도 있었다.
학수가 따라오자 안내원이 물었다.
“이분은 누구이십니까?”
“저와 함께 페어차일드 회장님을 만날 사람입니다.”
“성함이 어떻게 됩니까?”
“리처드입니다.”
이학수의 미국식 이름이 리처드였다. 그는 나름대로 이름을 거창하게 지었다.
‘사자 왕 리처드의 이름 이름을 땄다니……. 그도 야심이 있어.’
“죄송합니다만…… 예약 북에는 그의 이름이 없습니다.”
“그도 앤더슨의 친구입니다. 위에 연락해서 물어보십시오.”
안내원이 전화를 걸어 이학수의 방문 허락 여부를 물어보았다. 앤더슨의 친구라는 말에 쉽게 허락이 떨어졌다.
앤더슨이 미국에서 로비스트로 이름이 높은 모양이었다. 셔먼 페어차일드 회장도 신경을 써야 할 정도로…….
안내원은 예약 북에 있는 아이언의 이름 옆에 추가로 리처드라는 이름을 적었다.
“두 분은 저를 따라오십시오.”
그를 따라가자 그 빈자리를 다른 안내원이 채웠다. 안내원이 인도한 곳에는 회장실 전용 엘리베이터가 있었다.
페어차일드는 한국의 재벌과 비슷한 느낌이 있었다. 조금 형식주의에 폐쇄적인 면이 보였다.
아마 그런 부분이 반도체를 개발하는 자유로운 영혼인 연구원들과 맞지 않았을 것이었다.
단순히 그것만으로 일이 그렇게 진행되지는 않았겠지만, 미래를 아는 나에게는 그렇게 보였다.
사람은 자신만의 프리즘으로 세상을 본다. 그것이 틀릴 때도 있지만…… 맞을 때도 있었다.
“저는 여기까지입니다. 위에 다른 안내인이 기다리고 있을 겁니다.”
고속 엘리베이터가 빌딩의 꼭대기를 향해 빠르게 상승했다.

페어차일드 회장의 집무실에서 그를 만났다. 딱딱한 인상과는 달리 반갑게 맞아 주었다.
“앤더슨의 친구라는 말을 들었소. 반갑소.”
“이름 높은 페어차일드의 회장님을 만나 뵙게 되어 영광입니다.”
그는 재벌이었다. 카메라와 항공기, 반도체를 포함하여 70개의 계열사를 가졌다. 동시에 IBM의 최대 주주이기도 했다. 동시에 뛰어난 발명가이기도 했다. 지금은 그의 전성기였다.
‘하지만 후계자가 없어. 그룹이 공중분해 됐어.’
그는 결혼하지 않았고 아이도 없었다. 나이를 먹고 경영 일선에서 물러나자 이사회에 의해 그룹이 운영되었다.
주인 없는 회사는 산으로 갔다. 그의 나이는 지금 65세였다. 곧 경영 일선에서 물러난다.
“하하, 동양인 친구가 말도 잘하는군. 그래, 앤더슨과는 어떻게 알게 되었소.”
“앤더슨이 한국전쟁에 참전했을 때 함께 일했었습니다. 그곳에서 상당히 친해졌습니다.”
“그럼 앤더슨의 오랜 친구로구먼.”
“저의 결혼식에도 일부러 한국까지 찾아와 주었습니다.”
앤더슨과의 친분을 과시했다.
“앤더슨과 상당히 친한 모양이군.”
“서로의 가려운 부분을 긁어 주는 사이였습니다.”
“지금도 그와 자주 연락하오?”
“저는 사업이 바빠서 자주 연락을 못 하고 이 친구가 자주 연락합니다. 그도 앤더슨하고 함께 일했습니다.”
이학수를 그에게 소개했다.
“지금은 미래 그룹의 미주 지사장을 맡고 있습니다.”
“리처드라고 합니다. 만나 뵙게 되어 영광입니다.”
“앤더슨의 친구라고 하면 나의 친구이기도 하지. 반갑소.”
그와의 첫 만남은 앤더슨에 관한 이야기로 시작했다. 이번 만남은 앤더슨의 소개로 성사되었다.
대화의 시작은 서로 아는 공통적인 주제로 시작하는 것이 좋았다. 이번 만남의 주최자에 관해 이야기하는 것이 제일 적당했다.
이렇게 앤더슨에 관해서 한잠 이야기하다 보니, 딱딱했던 분위기가 상당히 완화되었다. 이제 본격적으로 사업에 관해서 이야기해야 할 때였다.
“요즘 페어차일드사에서 반도체 사업을 하는 것으로 알고 있습니다.”
“그렇소. 하지만…… 그대와는 합작할 생각이 없소.”
페어차일드 반도체의 존 카터 사장이 제대로 방문 목적을 그에게 전달했다. 그가 그동안 바쁘다는 핑계로 만나 주지 않은 것은 그럴 생각이 없었기 때문이었다.
오늘 이렇게 우리를 만난 것은 앤더슨의 소개 덕분이었다. 소개자의 체면을 생각한 것이었다. 그는 한국에 페어차일드 반도체의 합작 공장을 세울 생각이 없었다.
‘단칼이로군. 그렇다고 포기할 수는 없지.’

그 가능성을 현실로 만드는 것이 지금 해야 할 일이었다.
“혹시 실례가 안 된다면…… 그 이유를 여쭈어보아도 되겠습니까?”

협상과 설득의 시작은 상대방의 숨겨진 Needs를 파악하는 것이었다. 그것을 파악하는 데는 질문이 좋은 방법이었다.
“페어차일드 반도체는 지금 이대로도 좋은 성과를 내고 있소. 한국에 합작 공장을 세워야 할 이유가 없소.”
“맞습니다. 현재 페어차일드 반도체는 세계 1위의 반도체 업체입니다. 한국에 합작 공장이 필요가 없을 수도 있습니다.”
우선 그의 의견에 동조해 주었다. 청취와 동조는 협상의 기본이었다. 그리고 실제로 현재 페어차일드 반도체는 텍사스 인스트루먼트(TI)를 제치고 1위 회사가 되었다. 그에게 좀 더 깊은 질문을 던지기로 했다.

“……굳이 내가 그대에게 말해 줄 필요가 있겠소.”

페어차일드 반도체의 성공은 어떻게 보면 얻어걸린 것이었다. 쇼클리 반도체에서 윌리엄 쇼클리에 질린 연구원들이 대거 페어차일드 반도체로 이직하면서 성공한 것이었다.
하지만 경영자인 회장은 그것을 몰랐다.
‘아니, 그는 알고 있었을 수도 있어. 페어차일드 반도체가 망한 것은 이사회 때문이야.’

페어차일드 반도체는 IBM을 통해 공군에 납품되었다. 그들의 반도체는 폭격기와 탄도 미사일을 궤도를 설정하는 컴퓨터에 들어갔다.
“그럼 미래는 어디가 되겠습니까?”
“그것도 당연히 미국이 아니겠소.”
“일본은 어떻습니까?”
“에이, 잽이 미국의 상대가 되겠소.”

“그것은 모르는 일입니다. 현재 일본은 트랜지스터라디오와 전자계산기, TV를 생산하여 미국으로 많은 양을 수출하고 있습니다.”
“그것은 큰돈이 안되오.”
“지금은 그렇습니다.”
페어차일드에서 만드는 반도체는 하나가 150달러를 넘겼다. 웬만한 가전제품보다 비쌌다.
“아직 반도체는 공공 부분이 큽니다. 하지만 반도체는 갈수록 성능이 올라가고 반면에 가격은 저렴해집니다.”

“아직 기술력에서 미국과 일본은 차이가 크오.”
“반드시 그것도 아닙니다. 웨스턴 일렉트릭이 반도체(트랜지스터) 관련 특허를 일본에 공개했습니다. 그들도 빠른 속도로 미국의 기술을 추격하고 있습니다.”
미 공정 경쟁 당국의 독점 규제로 인해 1951년 AT&T의 자회사인 웨스턴 일렉트릭이 일본 기업들에 로열티를 받고 반도체 특허를 공개했다.
특허 개방은 미국 기업에게 독이 든 사과였다. 특허 로열티의 유혹은 미국에서 일본으로의 기술 유출에 가속도를 붙였다.
일본의 소니는 트랜지스터라디오와 TV를 개발하여 미국 시장의 문을 두드리고 있었다.
이 시기부터 미국 시장의 상당한 부분을 빼앗았다. 샤프는 전자계산기로 미국에 진출했다. 이미 일본의 미국 전자 시장의 점령은 시작되고 있었다.
일본이 소형 가전과 생활용품에 집중하는 사이에 미국의 반도체 업체는 민간이 아닌 국가나 기업을 상대로 판매하고 있었다.

반도체는 제품의 사이클에 따라서 매출의 영향을 많이 받는다. 다른 회사에 기술이 앞선다면 매출이 폭증하지만 뒤처진다면 대폭 감소했다.
많은 인원을 고용하기에 제때 새 제품이 나오지 않으면 공장이 놀게 되고 금방 적자로 돌아선다.
